Terms and Conditions – Emergo Deep
Article 1 – Definitions
In these terms and conditions the following terms shall have the following meanings:
Emergo Deep: our trading name, located in IJsselstein.
Client/Customer: any natural person or legal entity that purchases services or products from Emergo Deep.
Services: music production, events, creative concepts, consultancy and other activities of Emergo Deep.
Article 2 – Applicability
These terms and conditions apply to all quotations, agreements, deliveries and services of Emergo Deep.
Deviations are only valid if agreed in writing.
Article 3 – Offers and quotations
All quotes are without obligation and valid for 30 days after the date of issue.
Emergo Deep may revoke a quotation as long as it has not been confirmed in writing by the client.
Article 4 – Agreement
An agreement is concluded as soon as Emergo Deep confirms the order in writing or digitally.
We reserve the right to refuse orders without giving reasons.
Article 5 – Delivery of services
Delivery times are indicative and not fatal terms.
Emergo Deep is not liable for delays beyond our control (e.g. force majeure, technical failures).
Article 6 – Prices and payment
All prices are in euros, exclusive of VAT, unless otherwise stated.
Payment must be made within 14 days of invoice date, unless otherwise agreed.
In case of late payment, the customer owes statutory interest and collection costs.
Article 7 – Intellectual property
All music, designs and concepts produced by Emergo Deep remain our property unless otherwise agreed in writing.
Usage rights are granted solely for the purpose agreed upon in writing in advance.
Any reproduction, distribution or commercial use without permission is prohibited.
Article 8 – Liability
Emergo Deep is not liable for indirect damages such as consequential damages, lost profits or reputational damage.
Our liability is limited to the amount covered by our liability insurance, or – if no coverage – to a maximum of the invoice amount of the relevant order.
Article 9 – Force Majeure
In the event of force majeure (including technical failures, pandemics, government measures), Emergo Deep has the right to suspend or cancel the performance of the agreement without liability for damages.
Article 10 – Termination
Either party may terminate the agreement in writing for serious reasons or breach of contract.
Current obligations, such as payment for services already performed, remain in full force.
Article 11 – Applicable law
These terms and conditions and agreements are governed exclusively by Dutch law. Disputes will be submitted to the competent court in Utrecht.
